Association for Corporate Growth explores the risks of raising capital

The perils of using an unregistered finder to raise capital, a new young leaders group and the latest “Growth Company” award were among the topics discussed Thursday by a group of area dealmakers.

About 44 people attended the North Florida chapter of the Association for Corporate Growth event at Epping Forest Yacht Club.

Guest speaker Brian Miller, chair of the Akerman Senterfitt securities litigation practice in its Miami office, talked about preventive measures to avoid problems with unregistered finders: make sure they are registered, have documentation of agreements with the finder, ensure use of standard and customary fees, use proper incentives, use due diligence and do not dispense finder’s fees too early.

Association President Michael Kirwan, a partner with Foley & Lardner in Jacksonville, also explained some programming changes to the organization.

Instead of a summer programming hiatus, it will host happy hours on the third Thursday of each month at locations throughout Jacksonville.

The group also will develop a “Young Leaders” program for members age 40 and under. The program will include lunches to allow the young members to meet with high-level executives they might not have an opportunity to meet during their daily work schedules.

The association’s “Growth Company” award was presented to Ann Sabbag, who is the CEO and founder of Health Designs Inc., a worksite wellness company specializing in employee health assessments, biometric screenings and health coaching.

The 15-year-old company now serves more than 50,000 employees at 250 companies nationwide.

ACG is an association for professionals involved in middle-market corporate growth, corporate development and mergers and acquisitions. The association brings together North Florida business leaders for opportunities to meet and network and exchange information.
