Get ready for Florida's Revised Limited Liability Company Act ("FRLLCA") that goes into effect Jan. 1.
This is big news and applicable to your practice regardless of whether you are a corporate lawyer or a litigator.
Due to the significance of the changes to existing law, the FRLLCA should be considered a "new law" and not simply revisions to an existing law.
The changes affect transactional matters as well as litigation issues.
Therefore, it would be prudent for those of us who deal with LLCs in our practice to learn the specifics of those changes.
For those attorneys who would like to learn about the new FRLLCA, I encourage you to attend an upcoming CLE sponsored by the Transactional Law Section of The Jacksonville Bar Association.
One of the principal speakers, G. Alan Howard, partner at Milam Howard Nicandri Dees & Gillam, P.A., was a member of The Florida Bar's Drafting Task Force.
Howard will discuss the major changes to existing law and provide practical tips for drafting operating agreements under the FRLLCA.
He has particular insight into the policy behind the changes and will provide materials that will be helpful for us to "re-learn" this area of law. As for the backroom negotiations and drama leading up to the bill's passage, Howard has agreed to share some of those, too.
The other principal speaker, Gardner Davis, partner at Foley & Lardner LLP, will address the ethical issues involved in representing an LLC and its members during the negotiations of an operating agreement.
For those of you who have not had the pleasure of hearing Davis speak, you will not be disappointed as he shares stories and real-world examples of situations where ethical considerations may arise.
Last, but not least, a panel will conduct a mock negotiation of a multimember operating agreement.
The panel members are Scott Glazier, of Glazier & Glazier, P.A.; H. Timothy Gillis, of Gillis Way L.L.P.; and Stephen Moore, Jr., of Smith Hulsey & Busey, P.A.
Representing majority and minority owners, the panel will negotiate and highlight the key changes in the FRLLCA.
The CLE will be Thursday, Oct. 10, at the River Club.
It will start with a lunch buffet at noon and conclude with a happy hour.
